(“Microbridge”), including but not limited to microbridge.com, applications, emails, and any official Microbridge profiles on social networking platforms (collectively, “Sites”). By accessing or using the Sites, You acknowledge and agree to be legally bound by these Terms, which constitute an agreement between You and Microbridge. If You do not agree with these Terms, You must immediately discontinue use of the Sites.

Microbridge reserves the right to modify, amend, or update these Terms at its sole discretion and without prior notice. Continued use of the Sites after any such changes constitutes Your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically.

The Sites are intended for individuals who have the legal capacity to enter into binding agreements on their own behalf or on behalf of their organizations. By accessing or using the Sites, You confirm that You are at least 18 years old or otherwise legally authorized to do so. For clients engaging Microbridge’s services through the sign-up process, additional terms apply as set forth in the applicable Terms of Service.

MICROBRIDGE DOES NOT WARRANT THAT THE SITES OR ANY CONTENT OR SERVICES OFFERED THROUGH THEM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF TECHNOLOGICALLY HARMFUL ELEMENTS. ALL USE OF THE SITES IS AT YOUR OWN RISK.

MICROBRIDGE MAKES NO GUARANTEES AND DOES NOT PROMISE ANY SPECIFIC RESULTS OR OUTCOMES FROM THE USE OF THE SITES OR ANY RELATED SERVICES OR CONTENT.

MICROBRIDGE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE OR ENGAGE IN THE PRACTICE OF LAW. NO INFORMATION OR SERVICE PROVIDED THROUGH THE SITES SHALL BE CONSTRUED AS LEGAL ADVICE OR A SUBSTITUTE FOR LEGAL COUNSEL.

Limitation of Liability

IN NO EVENT SHALL MICROBRIDGE’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT ACTUALLY PAID BY YOU, IF ANY, FOR SERVICES PROVIDED BY MICROBRIDGE.

Confidentiality & Data Security

Microbridge is committed to maintaining the confidentiality, integrity, and security of all client data and information obtained in the course of our services. We implement reasonable administrative, technical, and physical safeguards to protect against unauthorized access, alteration, disclosure, or destruction of such information.

By providing any information to Microbridge, You represent and warrant that You have all necessary rights and permissions to do so, and that the information is accurate, lawful, and does not infringe upon the rights of any third party. Microbridge is entitled to use any information submitted for legitimate business purposes without restriction or obligation.

Intellectual Property

The Sites contain proprietary notices and copyright information, which must be observed and complied with at all times.

All content on the Sites—including text, graphics, logos, icons, images, digital media, data compilations, and software—is the property of Microbridge or its licensors and is protected by applicable intellectual property laws.

The trademarks, service marks, and logos (“Marks”) displayed on the Sites are the registered or unregistered property of Microbridge or their respective owners. You are not permitted to use any Marks without prior written consent from Microbridge or the applicable owner.

Governing Law & Jurisdiction

These Terms and any disputes arising out of or relating to Your use of the Sites shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. You agree that the exclusive jurisdiction and venue for any such disputes shall be the state and federal courts located in Denton County, Texas, USA.

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be severed, and the remainder shall remain in full force and effect. If You or any other party violate these Terms and Microbridge does not take immediate action, such inaction shall not constitute a waiver of any rights or provisions under these Terms.
